Please read these Terms of Service (“Terms”) carefully before using the website and services offered by LogicBaker, Inc. (“LogicBaker,” “we,” “us,” or “our”).

1. Acceptance of Terms

By accessing or using our website at logicbaker.com (“Site”) or any services provided by LogicBaker (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our Site and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

3. Description of Services

LogicBaker provides software consulting, legacy software modernization, custom software development, enterprise system integration, and AI solutions services. The specific Services we offer may change over time.

4. Eligibility

You must be at least 18 years old to access or use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

5. User Accounts

Some of our Services may require you to create an account. When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

6. Intellectual Property Rights

6.1 LogicBaker Content

All content on our Site, including text, graphics, logos, images, software, and other materials (“Content”), as well as the selection, arrangement, and organization of such Content, is owned by LogicBaker or its licensors and is protected by intellectual property laws. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content without our prior written consent.

6.2 Trademarks

The LogicBaker name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LogicBaker or its affiliates or licensors. You may not use such marks without our prior written permission.

6.3 User Content

You retain ownership of any content you submit, post, or display on or through our Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting our Services.

7. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
  • Upload or transmit any viruses, malware, or other malicious code
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems through hacking, password mining, or any other means

8. Client Engagements and Projects

8.1 Project Agreements

All client engagements and projects will be governed by separate written agreements that specify the scope of work, deliverables, timelines, payment terms, and other project-specific terms (“Project Agreements”). In the event of any conflict between these Terms and a Project Agreement, the Project Agreement will control with respect to the subject matter of that engagement.

8.2 Client Responsibilities

For client engagements, you agree to:

  • Provide accurate and complete information necessary for LogicBaker to perform the Services
  • Review and provide feedback on deliverables in a timely manner
  • Obtain all necessary rights, permissions, and consents for materials you provide to LogicBaker
  • Pay all fees as set forth in the applicable Project Agreement
  • Comply with all other obligations specified in the applicable Project Agreement

9. Fees and Payment

Fees for our Services will be set forth in the applicable Project Agreement. Unless otherwise specified:

  • All fees are quoted in U.S. dollars and are non-refundable
  • You are responsible for all taxes associated with your purchase of the Services, other than taxes based on LogicBaker’s income
  • If you fail to make any payment when due, LogicBaker may suspend or terminate your access to the Services

10. Term and Termination

These Terms will remain in effect until terminated by either you or LogicBaker. You may terminate these Terms at any time by discontinuing use of our Services. We may terminate or suspend your access to the Services at any time for any reason without notice. Upon termination, the following provisions will survive: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and any other provisions that by their nature should survive termination.

11. Confidentiality

During the course of using our Services, you may disclose confidential information to us, and we may disclose confidential information to you. Each party agrees to protect the other party’s confidential information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known to the receiving party before receipt from the disclosing party; (c) is rightfully obtained by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party’s confidential information.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGICBAKER DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LOGICBAKER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGICBAKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL LOGICBAKER’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO LOGICBAKER FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless LogicBaker and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; and (d) any claim that your User Content caused damage to a third party.

15. Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You and LogicBaker agree to submit to the personal and exclusive jurisdiction of the courts located in San Francisco, California.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, both parties agree to resolve the dispute through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

18. Entire Agreement

These Terms, together with any Project Agreements, constitute the entire agreement between you and LogicBaker regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

20. Waiver

The failure of LogicBaker to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

21. Assignment

You may not assign these Terms or any rights or obligations hereunder without the prior written consent of LogicBaker. LogicBaker may assign these Terms and its rights and obligations hereunder to any affiliate or in connection with a merger, reorganization, or sale of all or substantially all of its assets.
