Affiliate Agreement

Effective Date: March 1st, 2024

This Affiliate Agreement ("Agreement") is entered into by and between LogicBaker Company Limited ("Company") and you ("Affiliate"). By participating in the Logic Baker Affiliate Program ("Program"), you agree to the terms and conditions outlined in this Agreement.

1. Enrollment in the Program

To enroll in the Program:

1. Complete the registration form on our website.
2. Agree to abide by the terms of this Agreement.
3. Await approval from LogicBaker Company Limited. Approval is at the sole discretion of the Company.

2. Affiliate Responsibilities

As an Affiliate, you agree to:

• Promote the Company’s products and services honestly and ethically.
• Use only approved marketing materials provided by the Company.
• Avoid any misleading or fraudulent claims about the Company’s products, services, or promotions.

3. Affiliate Commissions

• Commission Rate: Affiliates will earn a commission of 10% on all eligible sales generated through their unique affiliate links.
• Payment Terms: Commissions are paid on a monthly basis, provided the minimum payout threshold of $50 has been met.
• Exclusions: Refunds, chargebacks, and taxes are not eligible for commission payments.

4. Affiliate Link and Tracking

• Affiliates will be provided with a unique referral link for tracking purposes.
• The Company uses cookies to track referrals. Cookies are valid for 30 days from the date of the referral.

5. Prohibited Activities

Affiliates are prohibited from:

1. Using spam or unsolicited emails to promote their affiliate link.
2. Bidding on the Company’s branded keywords in paid advertisements.
3. Engaging in activities that harm the Company’s reputation or violate applicable laws.

6. Term and Termination

• This Agreement begins upon approval of your application and continues until terminated by either party.
• The Company reserves the right to terminate your participation in the Program at any time for breach of this Agreement or for any reason deemed appropriate.

7. Limitation of Liability

To the fullest extent permitted by law:

• LogicBaker Company Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program.

8. Confidentiality

• Affiliates must maintain the confidentiality of all non-public information provided by the Company, including marketing strategies, commission rates, and customer data.

9. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of Your Country. Any disputes shall be resolved in the courts of Your City, State.
