Non-Disclosure Agreement (NDA)
Effective Date: March 1st, 2024
This Non-Disclosure Agreement ("Agreement") is entered into by and between LogicBaker Company Limited ("Disclosing Party") and the undersigned individual or entity ("Receiving Party") to protect the confidentiality of certain proprietary and confidential information disclosed by the Disclosing Party.
1. Definition of Confidential Information
Confidential Information includes, but is not limited to:
- Business plans, strategies, and operations.
- Technical data, trade secrets, and product designs.
- Financial information, customer lists, and marketing materials.
- Any other information designated as confidential by the Disclosing Party.
Confidential Information does not include information that:
- Was already known to the Receiving Party before disclosure.
- Becomes publicly available through no fault of the Receiving Party.
- Is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information.
2. Obligations of the Receiving Party
The Receiving Party agrees to:
- Keep all Confidential Information strictly confidential.
- Use Confidential Information solely for the purpose of evaluating or engaging in a business relationship with the Disclosing Party.
- Not disclose Confidential Information to any third party without prior written consent from the Disclosing Party.
The Receiving Party may disclose Confidential Information if required by law, provided that the Receiving Party notifies the Disclosing Party in advance and cooperates in seeking a protective order.
3. Term and Termination
- Term: This Agreement shall remain in effect for a period of 3 years from the Effective Date.
- Termination: The obligations of the Receiving Party regarding the confidentiality of disclosed information shall survive termination or expiration of this Agreement.
4. Return or Destruction of Confidential Information
Upon termination of this Agreement or upon request by the Disclosing Party, the Receiving Party agrees to:
- Return all physical and electronic copies of Confidential Information.
- Destroy any remaining copies and provide written certification of destruction to the Disclosing Party.
5. No License or Ownership
This Agreement does not grant the Receiving Party any license or ownership rights in the Disclosing Party's Confidential Information.
6. Remedies for Breach
The Receiving Party acknowledges that unauthorized disclosure or use of Confidential Information may cause irreparable harm to the Disclosing Party. In such cases, the Disclosing Party is entitled to seek injunctive relief in addition to any other legal remedies.
7. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of Your Country. Any disputes arising from this Agreement shall be resolved in the courts of Your City, State.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior agreements or understandings, whether written or oral.
